Terms of Service

These Terms of Service ("Terms") govern your access to and use of the TrackNCloak platform available at trackncloak.com ("Service", "Platform"), operated by N&P Soft, doing business as TrackNCloak ("Company", "we", "us", "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Acceptance of Terms
By creating an account, subscribing to a plan, or otherwise using the Service, you confirm that you are at least 18 years old and have the legal capacity to enter into a binding agreement. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. Description of Service
TrackNCloak provides ad tracking and traffic filtering tools, including but not limited to: campaign tracking, traffic source management, offer management, landing page tracking, conversion tracking, reporting and analytics, traffic filtering (cloaking), bot detection, VPN/proxy/Tor detection, image optimization for social sharing, and related services.
The traffic filtering functionality is designed as a traffic quality and bot protection tool. It enables users to filter non-human traffic (bots, crawlers, automated scripts) from legitimate human visitors for the purpose of improving traffic quality, protecting landing pages, and optimizing ad spend efficiency.
3. Account Registration
To use the Service, you must:
- Provide accurate, current, and complete registration information;
- Maintain and promptly update your account information;
- Maintain the security of your password and account credentials;
- Accept responsibility for all activity that occurs under your account;
- Verify your email address when prompted.
You may not create multiple free accounts to circumvent plan limitations. We reserve the right to suspend or terminate accounts that violate this provision.
4. Subscription Plans and Billing
4.1 Plans
The Service is offered with a 14-day free trial (all features enabled) followed by paid subscription tiers: Cloaker (₹2,499/month) and Full Tracker (₹6,499/month). Plan features, limits, and pricing are described on our Pricing page and may be updated from time to time.
4.2 Billing
Paid subscriptions are billed monthly in advance via Razorpay, our third-party payment processor. By subscribing to a paid plan, you authorize us to charge your payment method on a recurring basis. All fees are stated in Indian Rupees (INR) unless otherwise specified.
4.3 Taxes
All fees are exclusive of applicable taxes. You are responsible for paying any taxes, duties, or levies imposed by your jurisdiction in connection with your use of the Service.
4.4 Price Changes
We reserve the right to modify pricing at any time. Price changes for existing subscribers will take effect at the start of the next billing cycle following at least 30 days' written notice via email.
4.5 Failed Payments
If a payment fails, we will attempt to process the charge again. If payment remains unsuccessful after reasonable attempts, we may downgrade your account to the Free plan or suspend access until payment is resolved.
5. Permitted Use
You may use the Service for the following lawful purposes:
- Tracking advertising campaigns and measuring performance metrics;
- Filtering bot traffic and non-human visitors from your landing pages;
- Detecting and blocking VPN, proxy, Tor, and datacenter traffic;
- A/B testing of landing pages and offers;
- Geo-targeting and device-based traffic routing;
- Optimizing ad spend by analyzing traffic quality;
- Protecting landing pages from unauthorized scraping;
- Managing conversion attribution and postback tracking;
- Integrating with advertising platform APIs (Facebook CAPI, TikTok Events API, etc.).
6. Prohibited Use
You agree NOT to use the Service for any of the following purposes. Violation of this section may result in immediate account termination without refund:
- Illegal content or activity: Promoting, hosting, or distributing content that is illegal under applicable law, including but not limited to illegal drugs, unlicensed pharmaceuticals, weapons, counterfeit goods, or content involving the exploitation of minors.
- Malware and phishing: Distributing malware, ransomware, spyware, viruses, or phishing schemes. Using the Service to redirect users to malicious websites or to harvest credentials without consent.
- Fraud and deception: Engaging in financial fraud, identity theft, credit card fraud, wire fraud, or any form of consumer deception that violates applicable consumer protection laws.
- Trademark and copyright infringement: Impersonating brands, using trademarked names or logos without authorization, or distributing copyrighted material without proper license.
- Spam and unsolicited communications: Using the Service to facilitate bulk unsolicited emails, messages, or other communications in violation of CAN-SPAM, GDPR, or equivalent laws.
- Unauthorized data collection: Collecting personal data of individuals without proper consent or legal basis, or in violation of GDPR, CCPA, or other applicable data protection regulations.
- Service abuse: Attempting to reverse-engineer, decompile, or disassemble the Service; interfering with the Service's infrastructure; circumventing usage limits or security measures; reselling or sublicensing access without authorization.
- Hate speech and violence: Promoting hatred, violence, terrorism, or discrimination based on race, ethnicity, religion, gender, sexual orientation, disability, or national origin.
7. Traffic Filtering (Cloaking) Disclaimer
The traffic filtering features provided by TrackNCloak are designed for legitimate traffic quality management, including bot detection, crawler filtering, and traffic segmentation. These tools are intended to help users protect their landing pages from non-human traffic and improve the accuracy of their analytics.
Important: The use of traffic filtering to serve different content to advertising platform review systems than to end users may violate the terms of service of advertising platforms including, but not limited to, Google Ads, Meta (Facebook/Instagram) Ads, TikTok Ads, Microsoft Advertising, and others. TrackNCloak does not encourage, endorse, or condone the use of its traffic filtering tools to violate any third-party platform's terms of service.
You are solely responsible for ensuring that your use of the Service complies with all applicable advertising platform policies, terms of service, and applicable laws. TrackNCloak assumes no liability for any consequences arising from your use of traffic filtering features, including but not limited to advertising account suspensions, bans, or penalties imposed by third-party platforms.
8. Intellectual Property
The Service, including its design, code, algorithms, documentation, trademarks, and all related intellectual property, is owned by TrackNCloak and protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms.
You retain ownership of any data you upload to or generate through the Service. By using the Service, you grant us a limited license to process your data solely for the purpose of providing and improving the Service.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TRACKNCLOAK AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR:
- Any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, business opportunities, or goodwill;
- Any damages arising from advertising account suspensions, bans, or penalties imposed by third-party platforms as a result of your use of the Service;
- Any damages resulting from unauthorized access to or alteration of your data;
- Any interruption, suspension, or termination of the Service.
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR TEN THOUSAND INDIAN RUPEES (₹10,000), WHICHEVER IS GREATER.
10. Indemnification
You agree to indemnify, defend, and hold harmless TrackNCloak, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:
- Your use of the Service;
- Your violation of these Terms;
- Your violation of any third-party rights, including intellectual property rights;
- Your violation of any advertising platform's terms of service;
- Any content you create, publish, or distribute using the Service;
- Any claim by a third party related to your use of the traffic filtering features.
11. Termination
11.1 By You
You may cancel your subscription and terminate your account at any time through your account settings or by contacting us at help@trackncloak.com. Cancellation takes effect at the end of the current billing period.
11.2 By Us
We reserve the right to suspend or terminate your account immediately, without prior notice, if:
- You violate these Terms, the Acceptable Use Policy, or any applicable law;
- Your use of the Service poses a security risk or may cause harm to other users or third parties;
- Your account is used for illegal activity;
- We receive a valid legal order requiring termination;
- We discontinue the Service (with reasonable notice).
11.3 Effect of Termination
Upon termination, your right to use the Service ceases immediately. We may delete your account data after a reasonable retention period (see our Privacy Policy). Sections that by their nature should survive termination (including Limitation of Liability, Indemnification, and Governing Law) will survive.
12. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles. Any disputes arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in Bangalore, India.
Before initiating any formal legal proceedings, the parties agree to attempt to resolve disputes through good-faith negotiation for a period of at least thirty (30) days. If the dispute cannot be resolved through negotiation, either party may pursue remedies available under applicable law.
13. Modifications to Terms
We reserve the right to modify these Terms at any time. Material changes will be communicated via email or a prominent notice on the Service at least fifteen (15) days before they take effect. Your continued use of the Service after the effective date of any modifications constitutes your acceptance of the updated Terms.
14. Warranty Disclaimer
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR AVAILABILITY. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.
15. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.
16. Entire Agreement
These Terms, together with the Privacy Policy, Acceptable Use Policy, Cookie Policy, Refund Policy, and Data Processing Agreement, constitute the entire agreement between you and TrackNCloak regarding the Service and supersede all prior agreements.
